Ask HN: Good resources for a US startup expanding overseas

We are a US company expanding into Canada, the UK, and Europe (any eurozone country is fine). Anyone have some good resources for learning about corporate structure, tax implications, etc? Recommend any good lawyers in California (ideally)?
