Giving startup equity to a non profit as a partnership deal?

We're an angel stage start up in the healthcare space. We have been offered a partnership opportunity with a large nonprofit who would like equity in exchange for referrals. Does anyone have experience with this type of arrangement? What pitfalls should we be aware of?
