In theory, if there is an important firmware update or safety (life or data) issue, if you're registered, they may contact you and you may not otherwise find out.
OTOH, you're trusting Seagate with your contact information and it's not strictly required. Perhaps they'd be able to contact you through the retailer that sold the product anyway (often retailers keep track of serial numbers on hard drives they sold; mostly so you don't return a drive you didn't buy, if they bother to check anything in the returns process)
