Hi, I am looking at incorporating my startup using the German UG entity [0]. I currently do not have enough cash to form a full fledged GmbH (€25,000 + costs).
I am curious if anyone has raised outside VC into their UG company and what the process was like? Specifically I would like to know if you created a custom Musterprotokoll (articles of association) from the start, and/or if you needed to alter these during the VC raising process.
Should I attempt to get some kind of pre-incorporation term sheet from potential investors, and just add them as shareholders immediately during incorporation?
Should I just make a Delaware C Corp?
I live in Berlin, my company is (will be) doing direct air carbon capture.
