Ask HN: What are downsides of non-Delaware C-Corps for VC funded startups?

Practically speaking, are there any downsides in the fundraising process if one incorporates in Nevada or other US states as opposed to Delaware? Do VC funds have limitations or allergies when it comes to funding such entities?
