Somebody made a complaint against this guy, HR (aka the CoC committee) investigated (confidentially, because they don't want to accidentally defame anyone), the guy probably got a lawyer, the board then had to get their own lawyers, the lawyers spent a while negotiating, and ultimately the guy was fired and everyone involved signed a mutual non-disclosure and non-disparagement agreement.
